Welcome to the CESA 6 online store. The terms “we,” “us,” and “our” refer to Cooperative Educational Service Agency 6 (“CESA 6”). These Terms of Service govern your access to and use of this store and website, including all related information, content, features, tools, products, and services (the “Services”). By visiting, interacting with, or using the Services, you agree to be bound by these Terms of Service and our Privacy Policy [LINK]. If you do not agree, you should not use or access the Services.

1. Access and Account. By using the Services, you represent that you are at least the age of majority in your state of residence. You are responsible for providing accurate, current, and complete information when creating an account or making a purchase, and for maintaining the security of your account credentials. You may not transfer or assign your account to any other person.

2. Products. We make reasonable efforts to accurately represent our products and services, but product colors and appearance may vary depending on your device. Product descriptions are subject to change at our discretion, and we reserve the right to discontinue any product or limit quantities at any time.

3. Orders. When you place an order, you are making an offer to purchase. CESA 6 reserves the right to accept or decline any order at its discretion. Your order is not accepted until CESA 6 confirms acceptance and processes payment. We will notify you by email or phone if we do not accept, modify, or cancel your order.

Returns and exchanges are governed by our Refund Policy. Most items may be returned within 30 days of purchase in unused, original condition with all packaging intact. To initiate a return, contact us at shop@cesa6.org. Return shipping is your responsibility. Digital downloads, online course access, custom orders, and final sale items are not eligible for return. Purchases are not for commercial resale or export.

4. Prices and Billing. Prices are subject to change without notice. The price charged will be the price in effect at the time your order is placed, as confirmed in your order confirmation email. Posted prices do not include taxes, shipping, handling, or import charges unless expressly stated.

Promotions or discounts are governed by their own terms; if those terms conflict with these Terms of Service, the promotion terms govern.

You represent and warrant that the payment information you provide is accurate and complete, that you are authorized to use the payment method, and that you will pay all charges incurred, including applicable taxes and shipping.

Tax-Exempt Purchasers. If you are a tax-exempt purchaser, submit a valid Wisconsin Certificate of Exemption (Form S-211) or other applicable documentation to shop@cesa6.org before placing your order. Tax exemption will not be applied retroactively. By claiming exempt status, you represent that your claim is valid and agree to indemnify CESA 6 for any taxes, penalties, or interest resulting from an invalid claim. CESA 6 may request updated documentation at any time.

5. Shipping and Delivery. Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, or events outside our control. Title and risk of loss pass to you when we transfer products to the carrier.

6. Intellectual Property. The Services and all content — including trademarks, text, images, graphics, video, and audio, and the design, selection, and arrangement thereof — are owned by CESA 6, its affiliates, or licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or transmit any material from the Services without our prior written consent. No license or rights are granted to you except as expressly provided in these Terms. CESA 6’s names, logos, and marks may not be used without prior written permission. Shopify’s name and marks are owned by Shopify. All other marks on the Services belong to their respective owners.

7. Third-Party Tools and Links. The Services may include access to tools, functionality, or links provided by third parties. We do not monitor, control, or endorse third-party tools or websites, and we are not responsible for their content, accuracy, or practices. Your use of any third-party tool or website is at your own risk and subject to that party’s terms. Complaints about third-party products or services should be directed to the applicable third party.

8. Relationship with Shopify. The Services are powered by Shopify. All sales are made directly between you and CESA 6. Shopify is not responsible for any aspect of your transactions with CESA 6, and you release Shopify and its affiliates from any claims arising from your purchases.

9. Privacy and Third-Party Processors. All personal information we collect through the Services is subject to our Privacy Policy [LINK].

Purchases are processed by Shopify, a third-party e-commerce platform. When you make a purchase, Shopify collects and processes your payment and transaction information directly. Event registrations are processed by Hapily, a third-party event management platform. When you register for an event, Hapily collects and processes your registration and contact information. Please review Hapily’s Privacy Policy at https://hapily.com/privacy.

10. Feedback. If you submit ideas, suggestions, reviews, or other feedback (“Feedback”), you grant CESA 6 a perpetual, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute that Feedback for any purpose. You represent that you own or have the rights to submit the Feedback and that it complies with these Terms. We have no obligation to keep Feedback confidential, compensate you for it, or respond to it. You are solely responsible for the accuracy and content of your Feedback.

11. Errors and Omissions. We reserve the right to correct typographical errors, inaccuracies, or omissions in product descriptions, pricing, promotions, or availability at any time without notice, including after an order has been submitted.

12. Prohibited Uses. You may use the Services for lawful purposes only. You agree not to:

Use the Services for any unlawful, malicious, or fraudulent purpose.
Infringe upon the intellectual property rights of CESA 6 or others.
Harass, abuse, defame, or harm any person.
Transmit false or misleading information, spam, or unsolicited promotional material.
Impersonate any person or entity.
Upload or transmit viruses or other malicious code.
Reproduce, resell, or exploit any portion of the Services.
Use robots, scrapers, automated tools, or unsupervised AI agents to access the Services.
Circumvent or interfere with the security features of the Services.

We reserve the right to suspend or terminate your account at any time if we determine you have violated these Terms.

13. Automated Agents. Use of automated software agents, bots, or AI tools to access, browse, or transact on the Services is prohibited unless a human user is actively present and directly supervising each interaction in real time.

14. Termination. We may terminate or suspend your access to the Services at any time without notice. You remain liable for all amounts owed through the date of termination. Sections 6, 10, 12, 15, 16, 17, 18, and 19 survive termination.

15. Disclaimer of Warranties. We do not warrant the accuracy or completeness of information on the Services. Any reliance you place on such information is at your own risk. EXCEPT AS EXPRESSLY STATED BY CESA 6, THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE ABOVE MAY NOT FULLY APPLY TO YOU.

16. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, CESA 6, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS — AND THOSE OF SHOPIFY — WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CESA 6’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM A SPECIFIC TRANSACTION SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE PRODUCT OR SERVICE AT ISSUE, REGARDLESS OF THE FORM OF ACTION.

17. Indemnification. You agree to indemnify, defend, and hold harmless CESA 6, Shopify, and their respective affiliates, officers, directors, employees, agents, and service providers from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of any law or third-party rights, or your use of the Services. CESA 6 will notify you of any indemnifiable claim and may control its defense and settlement at your expense, but will not settle any claim imposing non-monetary obligations on you without your consent.

18. Severability, Waiver, and Entire Agreement. If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue in full force. Failure by CESA 6 to enforce any right does not constitute a waiver. These Terms of Service, together with our Privacy Policy and any applicable policies posted on the Services, constitute the entire agreement between you and CESA 6 regarding the Services and supersede all prior agreements.

19. Assignment. You may not transfer or assign these Terms or any rights under them without our prior written consent. We may transfer or assign these Terms without notice or consent.

20. Governing Law and Venue. These Terms are governed by the laws of the State of Wisconsin. Disputes shall be resolved exclusively in the federal court for the Eastern District of Wisconsin or the Wisconsin state courts in Winnebago County. You consent to personal jurisdiction and venue in those courts.

21. Changes to Terms of Service. We may update these Terms at any time by posting changes on this page. Material changes will be communicated in accordance with applicable law. Your continued use of the Services after any change constitutes acceptance of the updated Terms.
